5. Ordering, Payment, and Pricing

5.1 Order Placement

When you place an order through our website, you are making an offer to purchase food items subject to these Terms. Wing Snob reserves the right to accept or decline any order at our discretion. An order is confirmed only when you receive a written or electronic confirmation from us.

It is your responsibility to review your order carefully before submission. Once an order has been confirmed and preparation has begun, modifications or cancellations may not be possible. Please contact us promptly at [email protected] if you need to modify an order.

5.2 Pricing

All prices displayed on our website are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable taxes, delivery fees, or service charges unless explicitly stated. Applicable sales taxes will be calculated and displayed at checkout based on your delivery address and applicable state and local tax rates.

In the event of a pricing error on our website, Wing Snob reserves the right to cancel the affected order and provide a full refund, or to contact you to offer the item at the correct price.

5.3 Payment Methods

5.4 Refunds and Cancellations

Refund and cancellation policies are subject to our discretion. Refunds, where approved, will be processed to your original payment method within seven (7) to ten (10) business days.

6. Delivery Terms

Delivery availability is subject to geographic limitations and operational capacity. Estimated delivery times are provided as approximations only and are not guaranteed. Wing Snob shall not be liable for delays caused by traffic, weather, third-party delivery partners, or other circumstances beyond our reasonable control.

It is your responsibility to provide an accurate and complete delivery address. Wing Snob shall not be responsible for failed deliveries resulting from incorrect address information provided by the customer. Additional delivery fees may apply for re-delivery attempts.

Upon delivery, food items become the customer's responsibility. Wing Snob is not liable for any food safety issues that arise after delivery has been completed and food has been accepted by the customer or a person at the delivery address.

7. Allergen and Nutritional Information

Wing Snob makes reasonable efforts to provide accurate allergen and nutritional information on our website. However, this information is provided for general guidance only and may not reflect every ingredient or preparation variation. Our food is prepared in facilities that may handle common allergens including, but not limited to, gluten, peanuts, tree nuts, dairy, eggs, soy, fish, and shellfish.

All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners.

THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use or misuse of the Services or website;
• Your violation of any applicable federal, state, or local law, regulation, or third-party right;
• Your User Content or submissions, if any;
• Any negligent or wrongful conduct by you in connection with the Services;

To the extent that any disputes are not subject to arbitration as set forth in Section 15 below, you and Wing Snob each agree to submit to the exclusive personal jurisdiction and venue of the appropriate state or federal courts located in the United States for the resolution of any such disputes. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to the venue of such courts.

The Services are operated from within the United States. Wing Snob makes no representation that the Services are appropriate or available for use in other locations. If you access the Services from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting Wing Snob at [email protected] with a written description of your dispute and the resolution you seek. Wing Snob will attempt to resolve the dispute informally within thirty (30) days of receiving your notice.

15.2 Binding Arbitration

If informal resolution is unsuccessful, except for claims that qualify for small claims court, you and Wing Snob agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are incorporated herein by reference.

The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in the United States, at a location reasonably convenient to both parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, Wing Snob may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm. Either party may also bring an individual action in small claims court for disputes within that court's jurisdiction.

16. Term and Termination

These Terms shall remain in full force and effect while you use the Services. Wing Snob reserves the right, in its sole discretion, to:

• Terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach any provision of these Terms;
• Refuse service to any person or entity at any time, for any reason;
• Discontinue the Services or any portion thereof at any time without notice.

Upon termination of your access:

• Your right to use the Services will immediately cease;
• Wing Snob may delete your account and all associated data, subject to our Privacy Policy;
• Any outstanding payment obligations you have incurred shall remain due and payable;
• All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

In the event of a Force Majeure Event, Wing Snob will make reasonable efforts to notify you and to resume normal operations as quickly as practicable. Our obligations under these Terms will be suspended for the duration of the Force Majeure Event.

19. Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or void for any reason, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect, and the invalid or unenforceable provision shall not affect the validity or enforceability of any other provision.

Any failure of Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

A waiver is only effective if it is made in writing and signed by an authorized representative of Wing Snob. No course of dealing, delay in exercising, or partial exercise of any right shall constitute a waiver of Wing Snob's rights under these Terms.
